The Responsibilities Of Danantara In Terms Of Investment Holding And Operational Management Are As Follows

Wednesday, 26 Feb 2025

Badan Pengelola Investasi (BPI) Daya Anagata Nusantara (Danantara) is structured into two main holdings: investment and operational. This structure is outlined in the final draft of the Bill on State-Owned Enterprises (BUMN), which was approved during the 12th Plenary Session of the Indonesian House of Representatives for the 2024-2025 legislative period on February 4, 2025.

According to Article 3AB of the regulation, the investment holding is tasked with managing investments, empowering assets to enhance investment value, and executing other duties as assigned by the minister or relevant authority.

Furthermore, Article 3AC states that the investment holding is authorized to prepare and propose the company's work plan and budget, manage dividends of state-owned enterprises, empower assets, issue debt securities and/or accept loans, and provide loans and/or guarantees to the operational holding, state-owned enterprises, or subsidiaries of state-owned enterprises.

Additionally, the investment holding is responsible for managing and accounting for its assets, proposing the write-off and/or cancellation of debts related to its assets to the authority, and suggesting management contracts to the authority for approval, along with other actions determined by the minister or authority or stipulated in the investment holding's articles of association.

Regarding the management structure, Article 3AD specifies that the board of directors of the investment holding consists of a president director and one or more other directors. The directors are to be selected from professional individuals, with at least two members. The distribution of responsibilities and authority among the directors is determined by the decisions made during the general meeting of shareholders (RUPS) of the investment holding.

On the other hand, the operational holding of Danantara is responsible for managing the operations of state-owned enterprises and carrying out other tasks assigned by the minister or relevant authority. The powers granted to the operational holding are largely similar to those of the investment holding.
